The terms, in plain words.

1. The agreement

Flash VDO is a product developed by Sajeelo Infotech Private Limited, a company registered in Nepal (“we”, “us”). “Flash VDO” means the desktop app, the website at flashvdo.com and the service behind them, and “Flash” means the team of AI editors inside the app. By creating an account, installing the app or using the service, you agree to these terms and to our Privacy Policy. If you do not agree, do not use Flash VDO.

If you use Flash VDO for a company or another organisation, you agree for it and confirm that you may.

2. Your account

• You must be at least 18 years old.
• Give your real name, a working email address and a mobile number, and keep them current. Receipts are issued to these details.
• An account is for one person. Keep your password to yourself; what is done through your account is your responsibility. Tell us at once if you think someone else has used it.
• A plan works on the number of computers at a time that the pricing page states for it.

3. Plans, room and credits

• Plans. The AI features need a plan. Plans are sold for one, three or twelve months at the prices on the pricing page, in Nepali rupees, with VAT added as the law requires.
• Room. Each plan gives Flash a measure of room to work in: over any five hours, and over a week. When the room of a period is used, the AI features pause until that period turns over, or until you move to a larger plan. The app and your dashboard show how much room is left.
• Credits. Generated pictures, clips, sounds, voices and research draw on a weekly allowance that comes with the plan. Beyond it they draw on credits, which are sold in packs. Credits do not expire while your account is open. They have no cash value and cannot be transferred, exchanged or refunded for money.
• No automatic renewal. A plan ends on the date shown in your dashboard, and we remind you before it does. Nothing is charged unless you pay again. When a plan ends, the AI features stop; your projects and files stay on your computer.
• Changes. We may change prices, plans and the room they give. A change does not shorten or reduce a period you have already paid for.
• A provider of your own. If your account is set up to use an AI provider account of your own, that provider’s charges are between you and it, and are separate from your plan.

4. Payment

• You pay by scanning a Fonepay QR shown in your dashboard. The total, with the VAT, is shown before you pay.
• A QR is valid for a short time. An order is complete when Fonepay confirms the payment to us; your plan or credits are then switched on, usually within moments. A payment that reaches us late is still applied to its order.
• A receipt and a sales order for each payment can be downloaded from your dashboard.
• If you were charged and nothing was switched on, write to us with the order number: we will put it right.

5. Refunds

A payment for a plan or for credits is not refundable once the plan has started or the credits have been added, except where the law requires a refund, or where we could not provide what you paid for: a payment taken twice, or a payment that was never applied to your account. Write to us within 7 days of the payment with the order number.

6. Referrals

Your account has a referral code. When a new customer signs up with it and buys a plan, a free week is added to your plan and to theirs. A reward has no cash value. We may withhold or withdraw rewards earned by referring yourself, by fake accounts or by any other abuse.

7. Acceptable use

You agree not to use Flash VDO to:

• break the law, or make or spread content that is unlawful where you are or where it is published;
• make sexual content involving anyone under 18, or content that threatens, harasses or incites violence or hatred;
• impersonate a real person, or make a likeness or a voice of one that could deceive others, without that person’s clear permission; a voice may be cloned only if it is your own or its owner has agreed;
• use footage, music, pictures or other material you have no right to use. Flash labels the licence of what it finds as it found it; checking that the licence covers your use is for you;
• mislead people about facts that matter to their safety, their money or their vote;
• get around plan limits, share or resell your account, or reach the service by automated means other than the app;
• probe, copy or extract how Flash works inside, including its instructions, or interfere with the service or with other users.

Flash is made for video and content production. It may decline requests outside that, and requests it judges unsafe or unlawful.

8. Your content

Your footage, your projects, what you write to Flash and what you make with Flash VDO are yours. We claim no ownership of them. You give us permission to store, copy and process them, and to pass the necessary parts to the providers named in our Privacy Policy, only as far as is needed to run the service for you, to support you, and to keep the service working and improving as that policy describes.

9. What the AI makes

• Flash and the models it uses can be wrong, incomplete or unexpected: in a cut, a caption, a translation, a fact, a voice or a picture. Review the work before you rely on it or publish it. You are responsible for what you publish.
• As between you and us, what Flash makes for you is yours to use. Material made by AI may not be protected by copyright everywhere, and similar material may be made for other people.
• Flash does not give legal, financial, medical or other professional advice.

10. The app

We give you a personal, non-exclusive, non-transferable right to install and use the app under these terms. The app includes open-source software, which is provided under its own licences; nothing in these terms limits the rights those licences give you. The app updates itself, and an update may be needed for the service to keep working. The Flash VDO name and logo are ours and may not be used in a way that suggests we endorse you.

11. Services of others

Parts of Flash VDO rely on services we do not run: AI models, stock libraries, websites you ask Flash to read, and Fonepay. They may change or be unavailable, and their own terms apply to what they provide.

12. Availability and changes

We work to keep Flash VDO available and improving, and we do not promise that it will be uninterrupted or free of faults. We may add, change or remove features, and carry out maintenance. If we end the service altogether, we will give reasonable notice and refund the unused part of any plan paid ahead.

13. Suspension and ending

You may stop using Flash VDO at any time and ask us to close your account. We may suspend or close an account that breaks these terms, puts the service or other people at risk, or is used for fraud; where we reasonably can, we will tell you first and give you the chance to put things right. When an account closes, the right to use the service ends. What is on your computer stays there.

14. Our responsibility to you

Flash VDO is provided as it is. To the extent the law allows, we give no warranty beyond what these terms state, and we are not liable for indirect or consequential loss, for lost profit, revenue, data or goodwill, or for what you or others publish using Flash VDO. Our total liability to you for anything connected with Flash VDO is limited to the amount you paid us in the three months before the event that gave rise to the claim.

Nothing in these terms takes away rights that the consumer protection law of Nepal gives you and that cannot be given up by agreement, or limits liability that cannot lawfully be limited.

15. Your responsibility to us

If someone brings a claim against us because of content you used or published with Flash VDO, or because you broke these terms or the law, you will cover the reasonable costs and losses we incur as a result.

16. Changes to these terms

We may change these terms. We change the date at the top of this page, and if a change matters we tell you in the app or by the contact details of your account before it takes effect. If you keep using Flash VDO after that, you accept the changed terms; if you do not accept them, stop using the service and write to us.

17. Law and disputes

These terms are governed by the law of Nepal. Write to us first, and we will try to settle any disagreement directly. Failing that, the courts of Kathmandu, Nepal, have jurisdiction, unless the law gives you the right to bring a claim elsewhere.
